1. Acceptance of Terms
By accessing or using the AgentGate API, dashboard, or any related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services. These Terms form a binding agreement between you (or the entity you represent) and AgentGate ("we", "us", "our").
You must be at least 18 years old and have the legal authority to enter into this agreement. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Services
AgentGate provides compliance-as-a-service APIs for validating AI agent outputs against regulatory frameworks including GDPR, PCI-DSS, SOX, AML, Basel III, and the EU AI Act. Specific products include:
- AgentGate — core compliance validation API
- PII Shield — personally identifiable information detection and redaction
- AuditTrail — immutable SHA-256 evidence chain generation
- RouteIQ — intelligent task routing
- LearnLoop — self-learning engine
- VectorVault — three-tier vector memory
- BiasGuard — AI bias and fairness testing
We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.
3. API Usage
Your use of the API is subject to the following rules:
- You may not use the API to process data in violation of applicable law.
- You may not attempt to reverse-engineer, disassemble, or extract source code from the Services.
- You may not resell or sublicense API access without written permission.
- You are responsible for securing your API keys. Do not embed keys in client-side code or public repositories.
- Rate limits apply per plan. Exceeding limits may result in throttling or suspension.
- You must include an idempotency key on all mutating requests to prevent duplicate operations.
We may monitor API usage to enforce these Terms and to improve the Services. Aggregate, anonymised usage data may be used for product analytics.
4. Pricing and Payment
Free plan users receive 100 API calls per month at no charge, with no credit card required. Paid plans are billed monthly or annually as selected at checkout. Prices are displayed in USD; local currency equivalents are shown for convenience and may fluctuate.
- All fees are non-refundable except where required by law or our 30-day money-back guarantee on first-time paid subscriptions.
- We may change pricing with 30 days' written notice. Continued use after notice constitutes acceptance.
- Failed payments may result in temporary suspension of paid features. Your free-tier access remains unaffected.
5. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key data commitments:
- We do not store the full content of your API request payloads beyond what is necessary to generate a validation result and audit evidence.
- Validation records are retained for 90 days on free plans and 365 days on paid plans.
- We never sell your data to third parties.
- You retain ownership of all data you submit to the Services.
- We implement TLS 1.3 encryption in transit and AES-256 encryption at rest for stored records.
6. Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTGATE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL AGENTGATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF AGENTGATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 100.
The Services are tools to assist compliance workflows. They do not constitute legal advice. You remain solely responsible for ensuring your systems comply with applicable law.
7. Termination
You may cancel your account at any time from the dashboard or by emailing support@agengate.com. Upon cancellation:
- Your paid subscription ends at the close of the current billing period.
- Access to the API is downgraded to the free plan quota.
- Your data is retained for 30 days then deleted, unless you request earlier deletion.
We may terminate or suspend your access immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or pose a security risk to the Services or other users.
8. Changes to These Terms
We may update these Terms at any time. We will notify you by email and by posting the updated Terms at agengate.com/terms at least 14 days before the changes take effect for material changes. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
